OVERVIEW Welcome to Upward Education Services LLC. The terms “we,” “us,” and “our” refer to Upward Education Services LLC ("Upward"). Upward operates this store, and the website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with curated professional development experiences (the “Services”). Upward’s e-commerce functions are powered by Shopify.
The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services. By visiting, interacting with, or purchasing a license to access courses through our Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK].
SECTION 1 - ACCESS AND ACCOUNT By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence.

Account Access and Credentials: You are solely responsible for maintaining the security of your account credentials. You may not transfer, sell, assign, or license your account or course access to any other person.
- You must use a single, consistent identity and email address for all interactions with the Services. The creation of multiple accounts or profiles by a single individual—including the use of alternate email addresses—is strictly prohibited. You acknowledge that maintaining multiple profiles may result in fragmented academic records with our university partners, and Upward assumes no liability for complications, errors, or delays in transcript issuance resulting from duplicate account creation.
SECTION 2 - OUR PRODUCTS, EDUCATIONAL DISCLAIMER, AND LIABILITY

Educational Disclaimer (Crucial): Upward makes no guarantee regarding the outcome of completing any course, including passing examinations or changes to employment status.

Registrant Responsibility: All registrants are solely responsible for confirming with their administrators or school districts regarding salary reclassification and eligibility for graduate credit before purchasing.
SECTION 3 - ORDERS When you place an order, you are purchasing a limited, revocable license to access course content. Your purchases are subject to return solely in accordance with our Upward Course Refund Policy, which is incorporated herein by reference.
SECTION 4 - PRICES AND BILLING Prices are subject to change without notice. You represent that the credit card information you provide is true and that you are authorized to use it.
SECTION 5 - DIGITAL DELIVERY AND ACCESS

Delivery: Upon successful payment, access is considered delivered via a download link provided on the confirmation page or via email.

Access as Consumption: You acknowledge that clicking the download link or accessing the digital files constitutes "consumption" of the digital product. Per our Refund Policy, accessed digital content is non-refundable.
SECTION 6 - UPWARD REWARDS & REFERRAL PROGRAM

6.1 Program Overview: Upward may offer “Upward Rewards” via a third-party platform for referrals or loyalty milestones.

6.2 Referral Eligibility: Self-referrals, including the use of alternate email addresses, aliases, or proxy identities, are a material violation of these Terms. To qualify as a 'Qualified Referral,' the referred party must be a unique individual who has not previously registered for, purchased, or accessed any Upward Services under any name or email address.

6.3 Nature of Rewards: Rewards are promotional, have no cash value, and cannot be redeemed for a cash refund from Upward.

6.4 Third-Party Fulfillment: Once a reward is issued, Upward is not responsible for lost, stolen, or expired rewards.

6.5 Clawback and Refund Interaction: Per our Refund Policy, the issuance or dispatch of any reward of any reward associated with a purchase renders that purchase immediately non-refundable. In any instance where a refund is nonetheless issued (including credit card chargebacks or administrative exceptions), Upward reserves the right to: (a) void pending rewards; (b) deduct the value of the reward from the refund; or (c) bill the user for the reward value.

6.6 Taxes and Ethics: You are responsible for any tax liability and for ensuring participation complies with your employer’s ethics policies.
- 6.7 Account Integrity: Upward reserves the right to audit account activity. If duplicate profiles are identified for a single user, Upward may merge these profiles without notice to ensure academic record integrity. Any rewards earned through the creation of duplicate or fraudulent accounts are subject to voidance, and the user may be barred from future participation in the Rewards Program.
SECTION 7 - INTELLECTUAL PROPERTY AND LICENSING Course content is owned by Upward and protected by copyright laws.

License Term: Access is granted for a single-user, non-exclusive license for six (6) months from the date of purchase.

Prohibited Use: You may not reproduce, distribute, or share login credentials or core course material.
SECTION 8 - OPTIONAL TOOLS Access to third-party tools is provided “as is” without warranties.
SECTION 9 - THIRD-PARTY LINKS We are not liable for any harm or damages related to third-party websites or resources.
SECTION 10 - RELATIONSHIP WITH SHOPIFY Upward is powered by Shopify. You expressly release Shopify from all claims and liabilities arising from your transactions with Upward.
SECTION 11 - PRIVACY POLICY Personal information is subject to our Privacy Policy [LINK].
SECTION 12 - FEEDBACK You grant Upward a perpetual, worldwide license to use any feedback or reviews you submit for any purpose, including commercial use.
SECTION 13 - ERRORS, INACCURACIES AND OMISSIONS We reserve the right to correct errors or cancel orders if any information in the Service is inaccurate.
SECTION 14 - PROHIBITED USES You may not use the Services for any unlawful purpose, to infringe on IP rights, or to transmit malicious code. Violation results in immediate termination.
SECTION 15 - TERMINATION We may terminate this agreement at any time. You remain liable for all amounts due up to the date of termination.
SECTION 16 - DISCLAIMER OF WARRANTIES The Services are provided 'as is' and 'as available' without any warranties, express or implied.
SECTION 17 - LIMITATION OF LIABILITY To the fullest extent provided by law, Upward shall not be liable for any injury, loss, or consequential damages arising from your use of the Services.
SECTION 18 - INDEMNIFICATION You agree to indemnify Upward and Shopify from any claims arising out of your breach of these Terms.
SECTION 19 - SEVERABILITY If any provision is determined to be unlawful, the remaining provisions remain enforceable.
SECTION 20 - WAIVER; ENTIRE AGREEMENT These Terms constitute the entire agreement between you and Upward.
SECTION 21 - ASSIGNMENT We may assign our rights under these Terms without notice to you.
SECTION 22 - GOVERNING LAW These Terms are governed by the laws of the jurisdiction of the State of Hawaii.
SECTION 23 - HEADINGS Headings are for convenience only.
SECTION 24 - CHANGES TO TERMS OF SERVICE Continued use of the website following the posting of changes constitutes acceptance of those changes.
